Elect an alternative slate of 3 new directors formed by the “WowWee Badger The Lion” Group to serve for a three-year term on the Optimal Group, Inc. Board of Directors at the shareholders meeting in Montréal, Québec, on or about June 25, 2009 with the following agenda:

First on our agenda would be to cut executive compensation to a reasonable amount [comparable to IRBT execs]. Second would be to eliminate the staggered-board and golden parachutes. Third would be to preserve cash through the bear market. Fourth would be to position OPMR as the market leader in the Personal Robotics market projected to be $15 billion by 2015.

I pledge to...

add my OPMR shares that I own to this "WowWee Badger The Lion" Group in order for the group to elect an alternative slate of 3 new directors to negotiate the above agenda. I realize that this is an informal pledge, but I represent that I truly own the OPMR shares I say I do and am willing to be contacted to verify this. I understand that Badger The Lion or someone else from the "WowWee Badger The Lion" Group will contact me later about the final slate of 3 alternate directors, before I will agree to tender my shares.
